Billing & Payments Policy

This Billing & Payments Policy explains how subscriptions, pricing, billing, and payments operate on the WellCell platform (“WellCell”, “Service”, “Platform”).

By subscribing to WellCell, you agree to this Policy in addition to our Terms & Conditions.

  1. Role of WellCell

WellCell is a software-as-a-service (SaaS) provider.

WellCell:

  • Sells software subscriptions directly to personal trainers (“PTs”)

  • Charges only for access to the WellCell software platform

  • Does NOT process, facilitate, hold, or transfer payments between trainers and students

  • Is NOT a marketplace, escrow service, financial institution, or payment intermediary

All financial relationships, payment arrangements, and agreements between trainers and their students exist independently of WellCell and are outside the scope of our Service.

  1. Payment Provider

All payments, billing, invoicing, subscription management, and payment processing are handled exclusively by our third-party payment provider, Polar.sh.

WellCell:

  • Does not collect or store credit card, debit card, or banking information

  • Does not have access to full payment credentials

  • Relies entirely on Polar.sh for secure payment processing and billing infrastructure

Payment processing is subject to Polar.sh’s own terms of service, privacy policy, and compliance requirements. By subscribing, you also agree to the applicable terms of Polar.sh.

  1. Subscription Model

WellCell subscriptions are offered on a recurring basis.

Pricing is determined by:

  • The selected subscription plan

  • The number of active students associated with the PT’s account

  • Any applicable taxes based on your jurisdiction

An “active student” is defined according to the criteria, rules, and system logic displayed within the Platform. WellCell reserves the right to define and update how active student counts are calculated.

  1. Student Count Adjustments

If the number of active students changes:

  • Subscription charges may automatically increase or decrease

  • Adjustments are calculated and applied by Polar.sh

  • Changes take effect according to the current billing cycle or the next billing period, depending on system configuration

It is the user’s responsibility to monitor active student counts and subscription usage to avoid unexpected charges.

  1. Billing Cycle

Subscriptions are billed on a recurring basis, either monthly or annually, depending on the selected plan.

Billing details:

  • Charges are processed automatically by Polar.sh using the payment method on file

  • Invoices and receipts are generated and delivered by Polar.sh

  • Failure to complete payment may result in suspension or termination of access to the Service

You authorize Polar.sh to automatically charge your selected payment method for all applicable subscription fees.

  1. Trials and Promotions (If Applicable)

WellCell may offer free trials, discounted plans, or promotional pricing from time to time.

Unless explicitly stated otherwise:

  • Trials automatically convert into paid subscriptions at the end of the trial period

  • Payment details may be required to activate a trial

  • Charges begin automatically once the trial ends

It is your responsibility to cancel before the trial ends if you do not wish to be charged.

  1. Cancellations

You may cancel your subscription at any time through your account settings or via Polar.sh’s billing interface.

Upon cancellation:

  • Access remains active until the end of the current billing period

  • No future recurring charges will be applied

  • Downgrades may take effect immediately or at the next billing cycle, depending on the plan

Cancellation does not retroactively refund previously charged fees.

  1. Refunds

Unless explicitly stated otherwise in writing:

  • All subscription fees are non-refundable

  • WellCell does not guarantee refunds for unused time, partial billing periods, downgrades, or early cancellations

Any approved refunds, if applicable, are processed in accordance with Polar.sh’s refund mechanisms and policies.

  1. Failed Payments

If a payment attempt fails:

  • Polar.sh may retry the charge automatically

  • You may be notified to update your payment method

  • Access to the Platform may be suspended or restricted until payment is successfully processed

WellCell is not responsible for any data loss, business interruption, or damages resulting from failed or delayed payments.

  1. Taxes and VAT

Applicable taxes, including VAT, sales tax, or similar indirect taxes, may be added based on your billing location and applicable laws.

Tax calculation, collection, and invoicing are handled by Polar.sh.

You are responsible for any taxes not automatically collected where required by law.

  1. Pricing Changes

WellCell reserves the right to modify subscription pricing, plan structures, features, or usage limits at any time.

If pricing changes:

  • Existing users may be notified in advance where required by law

  • Changes will apply to future billing cycles

  • Continued use of the Service after pricing changes take effect constitutes acceptance of the updated pricing

  1. Disputes and Chargebacks

Payment disputes, billing issues, or chargebacks must be addressed through Polar.sh and/or your financial institution.

WellCell:

  • Does not directly manage chargebacks

  • Is not responsible for fees, penalties, or consequences resulting from disputes initiated through banks or payment providers

Excessive chargebacks or fraudulent payment activity may result in account suspension or termination.
