These Terms & Conditions (“Terms”) govern your access to and use of the WellCell platform (“WellCell”, “Service”, “Platform”). By creating an account or using the Service, you agree to be bound by these Terms.

  1. Service Overview

WellCell is a subscription-based software-as-a-service (SaaS) platform designed to help personal trainers (“PTs”) manage, organize, and track their students.

WellCell:

  • Is a software provider only

  • Does not provide personal training, coaching, medical, or health services

  • Does not process or facilitate payments between trainers and students

  • Is not a marketplace, payment intermediary, or escrow service

  1. Eligibility and Account Registration

To use WellCell, you must:

  • Be legally capable of entering into a binding agreement

  • Provide accurate, current, and complete registration information

You are responsible for maintaining the confidentiality of your account credentials and all activities that occur under your account.

  1. User Responsibilities

By using the Service, you agree that you will:

  • Use WellCell in compliance with all applicable laws

  • Only upload or manage student data for which you have obtained lawful consent

  • Not misuse, reverse-engineer, or attempt to disrupt the Platform

You are solely responsible for all content, data, and information you input into the Platform.

  1. Trainer–Student Relationship Disclaimer

WellCell is not a party to any relationship, agreement, or transaction between trainers and their students.

Specifically, WellCell is not responsible for:

  • Training programs, exercise plans, or results

  • Student outcomes, injuries, or health conditions

  • Payments, refunds, cancellations, or disputes between trainers and students

  • Any communication or agreement between trainers and students

All such responsibilities remain solely with the trainer.

  1. AI-Powered Features and Recommendations

WellCell may provide AI-powered features, insights, summaries, or recommendations based on data entered into the Platform.

You acknowledge and agree that:

  • AI-generated outputs are informational only

  • AI recommendations do NOT constitute medical, health, fitness, or professional advice

  • AI outputs may be incomplete, inaccurate, or outdated

  • You remain fully responsible for reviewing, validating, and applying any AI-generated suggestions

WellCell makes no guarantees regarding the accuracy, suitability, or outcomes of AI-generated content.

Use of AI features is at your own risk.

  1. Subscription and Pricing

Access to WellCell is provided through paid subscriptions based on the number of active students associated with your account.

Pricing is determined by the selected plan and may be displayed on the WellCell website or within the Platform. All prices are listed in the applicable currency and may be subject to applicable taxes.

WellCell reserves the right to modify subscription plans, features, and pricing at any time. Any pricing changes will apply to future billing cycles and will be communicated in advance where required by law.

  1. Billing and Payments

All billing, payments, invoicing, and subscription management are handled exclusively by Polar.sh.

WellCell:

  • Does not collect or store payment card or banking information

  • Does not act as a payment processor or intermediary

Payment-related matters, including refunds, chargebacks, and billing disputes, are subject to Polar.sh’s terms and policies.

  1. Intellectual Property

All rights, title, and interest in the Platform, including software, design, branding, trademarks, and content, belong exclusively to WellCell.

You are granted a limited, non-exclusive, non-transferable, revocable right to use the Platform during an active subscription, strictly in accordance with these Terms.

  1. Suspension and Termination

We reserve the right to suspend or terminate access to the Service if:

  • These Terms are violated

  • The Platform is misused

  • Required payments fail or are disputed

You may cancel your subscription according to the applicable billing policy. Termination does not relieve you of any outstanding payment obligations.

  1. Disclaimer of Warranties

The Service is provided “as is” and “as available”.

WellCell makes no warranties or representations regarding:

  • Continuous or uninterrupted availability

  • Error-free operation

  • Accuracy or reliability of outputs

  • Fitness for a particular purpose

To the fullest extent permitted by law, all implied warranties are disclaimed.

  1. Limitation of Liability

To the maximum extent permitted by law, WellCell shall not be liable for:

  • Any indirect, incidental, special, or consequential damages

  • Loss of data, revenue, profits, or business opportunities

  • Injuries or damages arising from training activities

  • Any disputes between trainers and students

In all cases, WellCell’s total cumulative liability shall not exceed the total amount paid by you to WellCell in the twelve (12) months preceding the event giving rise to the claim.

  1. Changes to Terms

We may update these Terms from time to time. If changes are material, we may provide notice via email or within the Platform.

Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
